
MANILA, Philippines — September 10, 2026 — PhilWeb Corporation (“PhilWeb” or the “Company”; PSE: WEB) welcomes the resumption of trading in its shares following the Company’s submission of the comprehensive disclosures and supporting information required by the Philippine Stock Exchange in connection with its strategic investment in JKS Tech Solutions, Inc. (“JKS”).
The temporary trading suspension was implemented following the PSE’s determination that PhilWeb’s investment in JKS falls within the Exchange’s disclosure requirements for substantial acquisitions. PhilWeb has since provided the additional transaction, corporate, financial, and strategic information requested in connection with the transaction.

Capital-Efficient Transaction Without New External Debt
PhilWeb emphasized that the JKS investment has been structured without reliance on new external debt financing. The transaction forms part of the Company’s broader strategy of deploying existing corporate capital and assets more productively.
As part of the overall structure, PhilWeb has agreed to sell 81.38 million common shares from its existing treasury stock to JKS at ₱16.50 per share, generating approximately ₱1.343 billion in proceeds to be redeployed toward the strategic investment.
PhilWeb’s historically reported negative equity has been significantly influenced by the accounting treatment of treasury shares, which are carried as a deduction from shareholders’ equity. The monetization of a portion of these treasury shares therefore enables the Company to convert previously non-yielding treasury assets into productive capital while strengthening the efficiency of its capital structure.
Rather than increasing financial leverage to pursue expansion, PhilWeb is reallocating capital toward a highly profitable, complementary operating business. This strategic stake is expected to be immediately accretive to PhilWeb’s consolidated financial performance, bringing robust recurring cash flows and a proportionate share in JKS’s strong ongoing net income.
JKS: From Technology Development to Commercial Scale
JKS spent its pre-commercial phase developing proprietary technology, platform architecture, systems integration, and operating infrastructure.
Following completion of this foundational development phase, JKS commenced its current revenue-generating B2B commercial operations in February 2026 and has since established a presence serving licensed mid-market operators in the regulated digital entertainment sector.
The investment gives PhilWeb exposure to a complementary customer segment while creating opportunities for deeper integration across technology systems, backend infrastructure, customer service, compliance, risk management, data capabilities, and shared operating functions.

PhilWeb’s existing ecosystem includes relationships with major licensed operators, integrated resorts, global content providers, and technology partners, while JKS expands the Group’s reach into the licensed mid-market operator segment.
The broader operating network also provides additional scale for PhilWeb’s AI-enabled technology roadmap, including operational monitoring, risk management, regulatory compliance automation, fraud detection, and platform intelligence.
PhilWeb believes that combining complementary market coverage, shared technology infrastructure, and increasingly integrated operating capabilities can strengthen the economics and scalability of its B2B digital infrastructure model.
