Maharlika Investment Corporation (MIC) has officially completed its acquisition of shares in Asian Terminals, Inc. (ATI), marking its entry into one of the country’s most critical port and logistics operators.
In a statement issued Tuesday, MIC said it had finalized the crossing and settlement of shares acquired through its tender offer, completing a deal that strengthens its presence in a sector seen as vital to economic growth and trade efficiency.
The shares were crossed through the Philippine Stock Exchange on March 13, 2026, with settlement completed on March 17, 2026.
The transaction involved 177.6 million ATI common shares tendered by Seawood Resources, Inc., Kayak Holdings, Inc., Asiasec Equities Inc., and other participating ATI shareholders. Of the total, 101.2 million shares were allocated to MIC, while 76.4 million went to ATI under its share buyback program.
With the completion of the transaction, MIC has formally become a shareholder in ATI, securing a meaningful foothold in a major gateway for trade, cargo movement, and supply chain activity.
MIC President and CEO Rafael Consing Jr. described the investment as a strategic move aligned with the fund’s long-term mandate.
“When we first announced this intent in December, I described the port sector as the ‘circulatory system of the Philippine economy.’ Today, we have successfully secured our place within that system,” Consing said.
He added that the investment reflects MIC’s focus on assets with strong long-term value and direct links to national growth.
“This investment fulfills our mandate to capture value from assets with high barriers to entry and a direct correlation to our nation’s GDP growth. With our successful entry and election to the ATI Board, we now have the seat at the table necessary to ensure this asset continues to redound to the public benefit,” he said.
MIC said the investment is expected to support job creation, improve logistics and supply chain efficiency, and help accelerate the digital transformation of port operations.
For Consing, the ATI deal also represents a broader step in advancing the Maharlika Investment Fund’s role in nation-building through commercially sound investments.
“Our shared victory is what will make MIC successful. We are enhancing our sovereign capability to generate sustainable wealth. This is exactly what we were built to do,” he said.
MIC manages the Maharlika Investment Fund, the country’s sovereign wealth fund, with investments focused on key sectors including infrastructure, energy, agriculture, and digitalization.
